من بينها مصر: لوك أويل تخطط لببيع اصولها الخارجية بسبب العقوبات
أعلنت شركة لوك أويل (LUKOIL) أنها تلقت عرضاً من مجموعة غانفور (Gunvor Group) لشراء شركة لوك أويل إنترناشونال (LUKOIL International GmbH)، وهي شركة تابعة مملوكة بالكامل لشركة “لوك أويل” المساهمة العامة (PJSC LUKOIL)، وتمتلك الأصول الدولية لمجموعة لوك أويل.
وقد تم الاتفاق مسبقاً بين الطرفين على الشروط الأساسية للصفقة، حيث قبلت لوك أويل العرض وامتنعت عن التفاوض مع أي مشترين محتملين آخرين.
وأوضحت الشركة أن إبرام الاتفاق النهائي الملزم يخضع لاستيفاء عدد من الشروط المسبقة، من بينها الحصول على موافقة مكتب مراقبة الأصول الأجنبية الأمريكي (OFAC) من قبل المشتري، إضافةً إلى التراخيص والموافقات المطلوبة في الولايات القضائية الأخرى ذات الصلة. كما تخطط الأطراف، إذا لزم الأمر، لتجديد الترخيص الحالي الصادر عن OFAC والحصول على تراخيص إضافية تضمن استمرار تشغيل الأصول الدولية والخدمات المصرفية المرتبطة بها إلى حين اكتمال الصفقة.
ويأتي قرار بيع شركة لوك أويل إنترناشونال نتيجة الإجراءات التقييدية المفروضة على الشركة وعدد من فروعها من قبل بعض الدول، والتي أثرت على عملياتها الدولية.
LUKOIL receives offer from Gunvor to purchase international assets
LUKOIL has received an offer from Gunvor Group to purchase LUKOIL International GmbH (100% subsidiary of PJSC 'LUKOIL' which owns international assets of LUKOIL Group). The key terms of the transaction have been earlier agreed by the parties. LUKOIL accepted the offer, having undertaken not to negotiate with other potential buyers.
The conclusion of the binding agreement for the transaction is subject to conditions precedent including obtaining OFAC permission by the Purchaser as well as any other applicable licenses, permits and other authorizations in other applicable jurisdictions. If necessary, the parties plan to apply for extension of the existing OFAC license and any additional licenses to ensure uninterrupted operations of international assets and their banking servicing for the period until the completion of the transaction.
The sale of LUKOIL International GmbH is due to restrictive measures of some states introduced against the Company and its subsidiaries.
